1. Overview

Jetflow is a non-custodial, vault-backed trading protocol and interface for short-duration financial markets. Through Jetflow, users may connect a supported wallet, access available markets, submit signed transactions, interact with deployed smart contracts, and, where available, provide or withdraw liquidity subject to the applicable protocol rules.

These Terms of Use (“Terms”) govern your access to and use of the Jetflow website, interfaces, applications, smart contract integrations, and related services we make available (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

2. Eligibility and Restricted Use

You must be at least 18 years of age to use the Services. You may use the Services only if you are legally capable of entering into a binding agreement and your use of the Services is not prohibited by any law, regulation, or rule applicable to you.

You may not use the Services if:

  • you are located in, organized in, or ordinarily resident in the United States of America or any of its territories or possessions;
  • you are located in, organized in, or ordinarily resident in any other jurisdiction where access to or use of the Services is prohibited or restricted by applicable law or regulation;
  • you are identified on, or controlled by a person identified on, any applicable sanctions list maintained by the United Nations, the United States (OFAC), the European Union, the United Kingdom, or any other relevant authority;
  • you use any tool, technology, or technique designed to evade or circumvent jurisdictional, location-based, identity, or compliance restrictions, including but not limited to VPNs, proxies, or similar technologies used to misrepresent your location or identity; or
  • you intend to use the Services in connection with fraud, market manipulation, money laundering, terrorist financing, sanctions evasion, or any other deceptive, abusive, or unlawful activity.

We may, in our sole discretion, restrict, suspend, disable, or terminate access to all or any part of the Services, place wallets or accounts into limited or close-only mode, or refuse to process transactions where we believe doing so is necessary for legal, compliance, sanctions, security, integrity, operational, or risk-management reasons.

3. Non-Custodial Nature

Jetflow is non-custodial. You retain control over your wallet, private keys, seed phrase, credentials, and transaction approvals at all times. We do not hold your private keys, do not maintain custody of your digital assets, and cannot unilaterally access or recover assets held in your wallet.

You are solely responsible for:

  • securing your wallet and devices;
  • verifying all transaction details before signing;
  • ensuring that you are on the correct network and interacting with the correct assets and addresses; and
  • understanding that blockchain transactions are generally irreversible once submitted and confirmed.

Loss of wallet access, compromised credentials, mistaken transactions, interaction with malicious contracts, or user error are entirely your responsibility.

4. The Services

The Services provide software, interfaces, tools, and related functionality that facilitate interaction with Jetflow smart contracts and associated market infrastructure. Depending on the feature, this may include market discovery, trade submission, settlement workflows, liquidity participation, rewards tracking, and related protocol functionality.

Jetflow may rely on third-party providers and infrastructure, including wallet providers, blockchain networks, RPC providers, indexers, oracle systems, market data providers, hosting providers, analytics providers, and other external dependencies. We do not control such third-party services and are not responsible for any outage, delay, exploit, error, downtime, pricing discrepancy, failure, or loss caused in whole or in part by them.

5. Alpha Disclaimer

Jetflow is currently in an early-access alpha stage. The Services are experimental and under active development. Features, interfaces, smart contracts, market structures, reward mechanisms, and protocol parameters may change, break, or be discontinued at any time without prior notice.

By participating in the alpha, you acknowledge that the software has not been fully audited, may contain bugs, logic errors, or security vulnerabilities, and carries a heightened risk of partial or total loss of funds. You use the Services entirely at your own risk.

6. No Advice; No Fiduciary Relationship

Jetflow is a technology product. Nothing on the Services constitutes investment advice, financial advice, legal advice, tax advice, brokerage services, exchange services, fiduciary advice, or a recommendation to enter into any transaction.

You are solely responsible for evaluating any trade, strategy, market, payout structure, or liquidity decision. You acknowledge that neither Jetflow nor any of its affiliates, contributors, service providers, or personnel owes you any fiduciary duty or duty of care solely as a result of making the Services available.

7. Market, Settlement, and Protocol Risks

Using Jetflow is inherently risky. Markets may be highly volatile, short in duration, sensitive to timing, dependent on external data, and subject to smart contract and infrastructure risks. You may lose some or all of the assets used in connection with a position or protocol interaction.

By using the Services, you acknowledge and accept, among other things, the risks of:

  • smart contract bugs, logic errors, vulnerabilities, exploits, attacks, or economic design failures;
  • oracle failures, stale prices, incorrect prices, delayed prices, confidence interval issues, data outages, or settlement disputes;
  • blockchain congestion, reorgs, delayed inclusion, failed transactions, network outages, forks, validator or sequencer issues, and other chain-level events;
  • wallet compromise, phishing, malware, user error, lost credentials, and unauthorized access;
  • slippage, latency, downtime, front-end bugs, indexing delays, settlement lag, or failed reward calculations;
  • liquidity shortfalls, utilization constraints, exposure caps, market closures, forced restrictions, and loss events affecting vault-backed liquidity;
  • changes in law, regulation, guidance, enforcement posture, sanctions rules, taxation, or market access restrictions; and
  • complete loss of value associated with a trade, vault position, or protocol interaction.

Past performance, displayed prices, payout illustrations, historical statistics, or prior market outcomes are not guarantees of future results.

8. Fees, Charges, and Taxes

Your use of the Services may involve protocol fees, spread-based charges, settlement fees, oracle-related costs, network gas fees, third-party wallet or infrastructure fees, and other charges disclosed through the interface or otherwise applicable to the relevant transaction flow.

We may change, add, remove, or adjust fees, pricing logic, incentives, promotions, or rewards at any time, with or without prior notice, to the extent permitted by law.

You are solely responsible for determining and satisfying any tax obligations arising from your use of the Services, including obligations related to gains, losses, rewards, incentives, fees, token transfers, or other taxable events.

9. Compliance, Screening, and Information Requests

We may implement geofencing, wallet screening, sanctions screening, transaction monitoring, fraud detection, anti-abuse measures, identity verification, source-of-funds review, or other compliance controls at any time.

You agree to provide any information or documentation we reasonably request for compliance, legal, sanctions, fraud-prevention, or risk-management purposes, including identity verification, residency confirmation, source-of-funds information, wallet ownership confirmation, or other supporting materials.

If you fail to provide requested information, or if we are not satisfied with the information provided, we may deny access, restrict features, disable trading, block withdrawals where applicable, terminate incentives, or suspend or terminate your use of the Services.

10. Prohibited Conduct

You agree not to:

  • violate any applicable law, regulation, sanctions program, or these Terms;
  • use the Services in any way that is fraudulent, deceptive, manipulative, abusive, or intended to interfere with market integrity;
  • attempt to circumvent any eligibility, jurisdictional, sanctions, security, or compliance controls;
  • exploit bugs, vulnerabilities, race conditions, or unintended logic in the protocol or interface;
  • use bots, scrapers, automation, or high-frequency interaction patterns in a manner that harms the Services or other users;
  • interfere with or disrupt the Services, associated infrastructure, or third-party providers;
  • impersonate another person or misrepresent your affiliation, location, identity, or authority; or
  • use the Services in connection with stolen assets, illicit proceeds, or unlawful activity of any kind.

11. Intellectual Property

As between you and Jetflow, we and our licensors own all rights, title, and interest in and to the Services, including the Jetflow name, brand, design, software, interface content, graphics, text, and related materials, excluding open-source components and third-party materials subject to their own licenses.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, frame, mirror, or exploit the Services except as expressly permitted by law or by us in writing.

Any feedback, suggestions, ideas, comments, or proposals you provide regarding Jetflow may be used by us without restriction or compensation.

12. Third-Party Services and Links

The Services may integrate with, rely on, or link to third-party services, including wallets, bridges, blockchains, data providers, hosting tools, analytics providers, and social platforms. We do not endorse, control, or assume responsibility for any third-party service, and your use of such services is at your own risk and subject to their terms and policies.

We are not liable for any loss arising from third-party outages, hacks, bugs, policy changes, access restrictions, account suspensions, or failures.

13. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and share information. By using the Services, you consent to the practices described in the Privacy Policy.

14. Modifications to the Services and Terms

We may modify, suspend, discontinue, or limit all or any part of the Services at any time, temporarily or permanently, with or without notice.

We may also amend these Terms from time to time. Updated Terms become effective when posted or otherwise made available through the Services, unless stated otherwise. Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.

15. Disclaimers

The Services are provided on an “as is” and “as available” basis, without any representation or warranty of any kind, whether express, implied, or statutory.

To the maximum extent permitted by applicable law, Jetflow disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, quiet enjoyment, or that the Services will be uninterrupted, error-free, or free of vulnerabilities, delays, or exploits.

Without limiting the foregoing, we do not warrant that:

  • any trade will execute, settle, or pay out as expected;
  • any market data, oracle input, or price feed will be accurate or timely;
  • any smart contract or interface is free from bugs or security risks;
  • any rewards, points, incentives, or other benefits will be available, accurate, or continue in the future; or
  • the Services will be lawful or available in any particular jurisdiction.

16. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Jetflow, its affiliates, contributors, service providers, licensors, officers, directors, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, loss of revenue, loss of business, loss of opportunity, loss of goodwill, loss of data, loss of digital assets, trading losses, or diminution in value, arising out of or relating to the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Jetflow shall not be liable for any loss or damage arising from or relating to:

  • use of or inability to use the Services;
  • any unauthorized access, hack, exploit, bug, logic error, or security breach;
  • any failure, error, or delay of any blockchain, wallet, oracle, indexer, RPC, hosting provider, or other third-party system;
  • any market movement, price discrepancy, settlement error, stale price, confidence interval issue, liquidity shortfall, or vault loss event;
  • any user error, including signing the wrong transaction, sending assets to the wrong address, misunderstanding market terms, or failing to maintain security of a wallet; or
  • any compliance, jurisdictional, or access restriction enforced by us.

To the maximum extent permitted by applicable law, the total aggregate liability of Jetflow and its affiliates arising out of or relating to the Services or these Terms shall not exceed the greater of: (a) the total amount of fees actually paid by you directly to Jetflow in the twelve (12) months preceding the event giving rise to the claim; or (b) US$100.

Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so some of the above limitations may not apply to you to the extent prohibited by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Jetflow and its affiliates, officers, directors, employees, contractors, service providers, licensors, and agents from and against any and all claims, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees and expenses, arising out of or relating to:

  • your use or misuse of the Services;
  • your violation of these Terms or any applicable law, regulation, sanctions rule, or third-party right;
  • your fraud, negligence, misconduct, manipulation, or unlawful conduct;
  • any assets, wallet activity, content, instructions, or information you provide or submit; or
  • any dispute between you and another user or third party.

We may assume exclusive control of the defense and settlement of any matter subject to indemnification by you, and you agree to cooperate fully with that defense.

18. Release

To the maximum extent permitted by law, you release Jetflow and its affiliates, officers, directors, employees, contractors, service providers, and agents from all claims, demands, and damages of every kind and nature, known and unknown, arising out of or relating to disputes between you and any other user, liquidity provider, third party, wallet provider, infrastructure provider, or market participant, or arising from any event outside our reasonable control.

19. Force Majeure

Jetflow will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, cyberattacks, blockchain network failures, oracle outages, regulatory actions, government orders, war, terrorism, pandemics, epidemics, power outages, telecommunications failures, or disruptions to third-party infrastructure or service providers.

20. Governing Law and Dispute Resolution

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflict-of-laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including any question regarding their existence, validity, interpretation, breach, or termination, shall first be attempted to be resolved through good-faith negotiations.

If the dispute is not resolved through negotiation within thirty (30) days, the dispute shall be referred to and finally resolved by confidential binding arbitration in the British Virgin Islands, before a single arbitrator, in the English language, in accordance with rules selected by Jetflow in the applicable notice of arbitration, to the extent permitted by applicable law.

To the maximum extent permitted by law:

  • disputes must be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, representative, or mass proceeding;
  • you waive any right to a jury trial to the extent such right would otherwise exist;
  • no arbitration or proceeding may be joined with any other without Jetflow's prior written consent; and
  • any claim not brought within one (1) year after the cause of action arose shall be deemed permanently barred, to the extent permitted by law.

Nothing in these Terms prevents Jetflow from seeking injunctive, equitable, or protective relief in any court of competent jurisdiction where necessary to protect the Services, intellectual property, confidential information, compliance interests, or security posture.

21. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason or no reason, subject to applicable law. Upon termination, all rights granted to you under these Terms immediately cease, but all provisions that by their nature should survive termination shall survive, including provisions relating to disclaimers, limitations of liability, indemnities, dispute resolution, governing law, releases, and any accrued rights or obligations.

22. Miscellaneous

These Terms constitute the entire agreement between you and Jetflow regarding the Services and supersede all prior or contemporaneous understandings relating to the subject matter hereof.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
